1. Agreement to Terms
By accessing our website at unveildesign.com, engaging our services, or signing a project agreement, you agree to be bound by these Terms and Conditions. If you do not agree, do not use our services.
These Terms apply to all clients, visitors, and anyone who interacts with Unveil Design (“we,” “us,” or “our”).
2. Services
Unveil Design provides web design, web development, AI integration, and related digital services, including but not limited to:
- Custom website design & development
- WordPress development & management
- AI-powered tools & integrations (MyDesign)
- Search engine optimization (SEO)
- Ongoing website maintenance & support
The specific scope of services for each engagement is defined in a separate project proposal or service agreement provided to the client.
3. Project Agreement & Contracts
Contracted Engagements
For project-based work, a written agreement or proposal will be provided outlining scope, deliverables, timeline, and payment terms. Work begins only after the client has approved the proposal and the required deposit has been received.
Contractless (Month-to-Month) Services
Certain services, such as website maintenance plans or ongoing retainers, may be offered on a month-to-month basis without a long-term contract. These services may be cancelled by either party with written notice as specified in the applicable service plan.
4. Payment Terms
Invoicing
Invoices are issued through Wave Payments. Clients will receive invoices via email to the address provided at time of engagement.
Deposits
Project-based work typically requires a deposit before work begins. The deposit amount and remaining payment schedule will be outlined in the project proposal.
Due Dates
Payment is due within the timeframe stated on each invoice. Late payments may result in a pause or suspension of work until the account is brought current.
Late Fees
Invoices not paid within 14 days of the due date may be subject to a late fee of 15% on the outstanding balance, or the maximum amount permitted by Pennsylvania law, whichever is less.
Refunds
Deposits are non-refundable once work has commenced. Refunds for other payments are handled on a case-by-case basis and are not guaranteed.
5. Client Responsibilities
To complete your project on time and on budget, we rely on you to:
- Provide timely feedback, content, and approvals
- Supply all necessary credentials, assets, and access (Accounts, domain access, etc.)
- Designate a single point of contact for project communication
- Review and approve deliverables within a reasonable timeframe
Delays caused by the client may affect project timelines and deadlines. Unveil Design is not liable for project delays resulting from client inaction.
6. Intellectual Property
Contractless Agreements
Unveil Design retains ownership of all assets produced by Unveil Design unless agreed upon for digital transfer. This includes but is not limited to: websites, advertising material, and graphic design work.
Contracted Agreements
Unveil Design retains ownership of all assets produced by Unveil Design until the expiration of the contract term. If a contract is extended or renewed, Unveil Design retains full ownership of all assets produced by Unveil Design.
Third-Party Assets
Websites may include third-party components such as themes, plugins, fonts, stock imagery, or software licenses. These remain subject to their respective license terms and are not transferred to the client.
Portfolio Rights
Unveil Design reserves the right to display completed work in our portfolio, case studies, and marketing materials unless the client requests otherwise in writing prior to project completion.
7. Confidentiality
We treat client information with care. We will not share your business information, project details, or proprietary materials with third parties without your consent, except as required by law or necessary to deliver the services (e.g., hosting providers, third-party tools).
8. AI Tools & MyDesign
Some service plans include access to AI-powered tools, including our proprietary MyDesign CRM product. By using these tools, you acknowledge:
- AI-generated content and responses may require human review before use
- Unveil Design does not guarantee specific outcomes from AI features
- Unveil Design is not responsible for any operational failure caused by an AI feature
- Client data entered into AI tools is handled in accordance with our Privacy Policy
- Access to these tools is tied to the active service plan and terminates upon cancellation
9. Limitation of Liability
To the fullest extent permitted by law, Unveil Design shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of revenue, loss of data, or business interruption.
Our total liability for any claim related to our services shall not exceed the amount paid by the client in the 90 days preceding the claim.
10. No Guarantee of Results
We apply our best expertise and effort to every engagement. However, we make no guarantees regarding specific business outcomes, search engine rankings, traffic levels, or conversion rates. Results vary based on many factors outside our control.
11. Website Content
Clients are responsible for the accuracy, legality, and appropriateness of all content published on their website. Unveil Design is not liable for client-provided content that infringes on third-party rights or violates applicable law.
12. Termination
Either party may terminate a service engagement with written notice, subject to the terms of any signed agreement. Upon termination:
- Any outstanding invoices become immediately due
- Work completed up to the termination date will be invoiced accordingly
- Client credentials and assets will be returned upon receipt of full payment (if applicable, see 6. Intellectual Property)
13. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Pennsylvania.
14. Changes to These Terms
We may update these Terms at any time. We will notify active clients of material changes. Continued use of our services following notice of changes constitutes acceptance of the revised Terms.
